Commercial License Agreement

01 Definitions

• "Software" means the nativelayer packages covered by this license, including but not limited to reflectx, restate, routerx, re-md, and doc-quick, as specified at the time of purchase.
• "License Tier" means the specific tier purchased (Individual, Core Bundle, Team, or Enterprise), each with distinct scope as defined in Section 3.
• "Licensee" means the purchasing individual or legal entity.
• "Authorized Developer" means an individual who uses the Software under this license on behalf of Licensee.
• "Application" means any software product or service created by Licensee that incorporates the Software.
• "License Term" means the period for which the license is valid, as specified at purchase (typically one year for subscription tiers).

02 Grant of license

Subject to payment and the terms of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, worldwide license to:

• Use, copy, and modify the Software for the purpose of building Applications.
• Distribute the Software as part of compiled or bundled Applications, provided that the Software is not separately distributed as a standalone library or component.
• Use the Software in production environments and commercial deployments.

This license does not include the right to sublicense, sell, or otherwise transfer the Software itself to third parties as a development tool, library, or product.

03 License tiers and scope

• Individual — one (1) Authorized Developer, unlimited Applications, single legal entity. Covers one package (e.g. reflectx only) as specified at purchase.
• Core Bundle — one (1) Authorized Developer, unlimited Applications, single legal entity. Covers reflectx, restate, and routerx together.
• Team — up to five (5) Authorized Developers within the same legal entity, unlimited Applications. Covers all core packages.
• Enterprise — custom developer count and scope. Terms are established separately in writing between Licensor and Licensee.

If you need additional developers beyond your tier, you must purchase additional seats or upgrade to a higher tier.

04 Term and renewal

The license is valid for one (1) year from the date of purchase unless otherwise specified. Upon expiration:

• Licensee may continue using the version of the Software released prior to the expiration date in existing Applications.
• To receive updates, bug fixes, or use newer versions, Licensee must renew the license.
• Renewal pricing is the same as the current published price at the time of renewal.

05 Restrictions

Licensee may not:

• Redistribute the Software as a standalone package, library, or development tool.
• White-label, resell, or relicense the Software to third parties as a product or service.
• Use the Software to build a product whose primary purpose is to compete with the Software itself.
• Remove or alter any copyright, license, or attribution notices contained in the Software.
• Transfer this license to another individual or entity without prior written consent from Licensor.
• Exceed the number of Authorized Developers specified in the purchased License Tier.

06 What is included

A valid commercial license includes:

• The right to use the Software in commercial and proprietary applications as specified in the License Tier.
• Access to updates and bug fixes released during the License Term.
• Priority email support at info@nativelayer.dev for the duration of the License Term.
• A license certificate confirming the terms of use.

07 Intellectual property

The Software and all associated intellectual property rights remain the exclusive property of Licensor. This Agreement grants a license to use the Software; it does not convey ownership. Licensee retains full ownership of Applications built using the Software, provided they do not constitute a redistribution of the Software itself.

08 Attribution

Attribution is not required in production Applications. If Licensee chooses to include attribution, the recommended form is:

09 Warranty disclaimer

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET LICENSEE'S REQUIREMENTS OR THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

10 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL) ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11 Refund policy

Licensee may request a full refund within fourteen (14) days of purchase if the Software does not function as documented and the issue cannot be resolved by Licensor within a reasonable time. Refund requests must be submitted by email to info@nativelayer.dev with the order reference and a description of the issue.

Refunds are not available after 14 days or if the Software has been used in a deployed production application.

12 Termination

This Agreement and the license granted herein will terminate automatically if Licensee breaches any of its terms. Upon termination, Licensee must cease all use of the Software in new Applications and destroy any copies not embedded in already-shipped Applications. Licensor may reinstate the license at its discretion upon written confirmation that the breach has been remedied.

13 Governing law

This Agreement is governed by the laws of France, without regard to its conflict of laws provisions. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts of France, unless otherwise agreed in writing for Enterprise tiers.

14 Entire agreement

This Agreement constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements. Any modifications must be agreed in writing by both parties. The PolyForm Noncommercial License continues to govern non-commercial use of the Software independently of this Agreement.
